Agreement to Terms
By accessing and using the website and services of YMC Inc. (“Company,” “we,” “us,” or “our”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
Description of Services
YMC Inc. provides professional services through our website. The specific nature, scope, timeline, and pricing of services will be outlined in separate service agreements, proposals, or contracts between the Company and the client.
Service Agreements
All services provided by YMC Inc. are subject to separate written agreements that will specify the scope of work, deliverables, timelines, payment terms, and other project-specific details. These service agreements take precedence over these general Terms of Service for matters specifically addressed in the service agreement.
Payment Terms
Payment Schedule
Payment terms will be specified in individual service agreements. Unless otherwise agreed in writing, invoices are due within 30 days of receipt. Late payments may be subject to interest charges of 1.5% per month or the maximum rate permitted by law, whichever is less.
Refunds
Refund policies are specific to each service and will be outlined in the applicable service agreement. In general, work already completed is non-refundable.
Client Responsibilities
Clients are responsible for providing accurate information, timely feedback, and any materials necessary for the completion of services. Delays caused by client non-responsiveness may result in project timeline adjustments and additional charges.
Intellectual Property
Client Materials
Clients retain ownership of all materials, content, and intellectual property provided to YMC Inc. for use in service delivery.
Work Product
Upon full payment, clients will receive ownership rights to the final deliverables as specified in the service agreement. YMC Inc. retains the right to use general methodologies, techniques, and know-how developed during service delivery.
Portfolio Rights
YMC Inc. reserves the right to use completed work in portfolios, case studies, and marketing materials unless otherwise agreed in writing.
Limitation of Liability
To the maximum extent permitted by law, YMC Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
In no event shall our total liability to you for all damages exceed the amount paid by you to YMC Inc. for the specific service giving rise to the claim during the 12 months preceding the claim.
Force Majeure
YMC Inc. will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
Cancellation and Termination
Either party may terminate services with written notice as specified in the service agreement. Upon termination, the client will be invoiced for all work completed through the termination date. Any prepaid amounts for uncompleted work may be refunded at our discretion.
Confidentiality
We respect the confidentiality of our clients’ information and will not disclose confidential information to third parties without written consent, except as required by law or as necessary to provide the agreed-upon services.

Acceptable Use
You may use our website for lawful purposes only. You agree not to use the website in any way that could damage, disable, overburden, or impair our servers or networks, or interfere with any other party’s use of the website.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions.
Jurisdiction
Any disputes arising under these terms shall be resolved in the courts of Ada County, Idaho.
Severability
If any provision of these Terms of Service is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
